Wholesale Terms & Conditions
ACCOUNT APPROVAL
All wholesale accounts are subject to approval. Ox & Pine reserves the right to approve or deny any application at our sole discretion.
A valid resale certificate or sales tax ID must be provided prior to approval. Ox & Pine reserves the right to charge applicable sales tax if proper documentation is not received.
ORDER MINIMUMS
- Opening Order Minimum: $250
- Reorder Minimum: $150
- Products must be ordered in stated MOQ quantities per SKU
PAYMENT TERMS
Payment is required in full prior to shipment. We accept credit card and ACH.
Orders with outstanding balances will not be fulfilled. Net terms are not offered at this time.
Past-due balances are subject to a 1.5% monthly finance charge. Returned payments or disputes may incur a $25 service fee.
PRICING
All prices are wholesale and listed in USD. Prices are subject to change without notice.
Retailers agree to maintain pricing consistent with Ox & Pine’s brand positioning and may not significantly discount products without prior approval.
AUTHORIZED SALES CHANNELS
Products may only be sold through approved sales channels disclosed at the time of application.
Sale of Ox & Pine products on third-party marketplaces (including but not limited to Amazon, eBay, Etsy, Walmart Marketplace) is strictly prohibited.
PACKAGING & BRANDING
Wholesale orders ship in protective packaging that differs from direct-to-consumer packaging.
Products may not be rebranded or sold under another brand name.
Ox & Pine products must be represented and sold under the Ox & Pine name in all retail and online environments.
For online listings and marketing:
- Ox & Pine must be credited as the maker in product titles and descriptions
- Retailers are encouraged to tag @oxandpine on social media
Retailers agree to present Ox & Pine products in a manner consistent with the brand’s quality and positioning.
SHIPPING
All orders ship from Princeton, Texas via USPS or UPS Ground unless otherwise arranged.
Shipping costs are the responsibility of the buyer and will be charged at the time of order or prior to shipment.
Ox & Pine is not responsible for carrier delays, loss, or damage. Insurance and expedited shipping are available upon request.
All duties, VAT, and customs fees are the responsibility of the customer.
PROCESSING TIMES
Orders typically ship within 1–2 weeks. Lead times may vary depending on order size and seasonality.
Custom artwork, logos, or personalization may extend processing times. Rush services may be available for an additional fee.
BACKORDERS
Backordered items will be communicated at the time of order or fulfillment and will ship as soon as available. Backorders typically ship at no additional cost unless otherwise specified.
RETURNS & DAMAGES
All sales are final.
Defective items may be exchanged for product or credit and must be reported within 48 hours of delivery.
To process a claim:
- Photos of damaged product and packaging are required
- Notice of damage must also be reported to the carrier
Claims cannot be processed without proper documentation.
Refused shipments will incur all associated shipping and handling charges.
ORDER REFUSAL & CANCELLATION
Ox & Pine reserves the right to cancel or refuse any order at any time.
PRODUCT DISCLAIMER
Due to the handmade nature of our products, slight variations in color, texture, and finish are expected.
Natural markings and variations in leather are not considered defects.
FORCE MAJEURE
Ox & Pine is not liable for delays or failure to fulfill orders due to events beyond our control, including but not limited to supply chain disruptions, natural disasters, or carrier delays.
ACCEPTANCE OF TERMS
Placement of an order constitutes acceptance of all wholesale terms and conditions outlined above.
